HR due diligence focuses on the people within the organization: their contracts, costs, structure and the personnel policy pursued. In an acquisition or restructuring, hidden HR risks can have major financial or legal consequences. This analysis provides insight into labor law obligations, personnel costs, organizational structure and strategic themes such as talent retention and leadership.
We review employment contracts, collective bargaining agreements, working conditions and incentive plans. We also analyze personnel data, such as age structure, turnover, absenteeism and payroll costs. Organization charts and management structures are examined for effectiveness and possible dependencies. For international organizations, we examine the position of expats, including tax and legal aspects. We also check whether HR policies and procedures comply with laws and regulations and whether there are any risks in the areas of compliance, diversity or social safety.
